In this context, we specifically focus on the remuneration committee, which is the subject of a recommendation within the Afep-Medef code regarding the participation of an employee representative director in its proceedings. Non-compliance with this recommendation, in our view, signals resistance to codetermination. Through the analysis of universal registration documents, complemented by semi-structured interviews, our results highlight the resistance of certain French companies to the participation of employee representatives in the said committee, as evidenced by the analysis of the institutional responses provided by these companies. Furthermore, our findings underscore a contrast in the adoption of the recommendation among companies that implement it.Les comités spécifiques sont souvent présentés comme des lieux hautement importants dans la prise de décision, et qui, par leur élargissement aux administrateurs représentants salariés, contribuent à une gouvernance plus partagée. Dans ce cadre, nous nous intéressons spécifiquement au comité de rémunération qui fait l’objet d’une recommandation au sein du code Afep-Medef quant à la participation d’un administrateur représentant les salariés à ses travaux. Le non-respect de cette recommandation est selon nous un signal de résistance à la codétermination. A travers l’analyse des documents d’enregistrement universel, complétée par des entretiens semi-directifs, nos résultats mettent en avant la résistance de certaines entreprises françaises à la participation des représentants des salariés au dit-comité, à travers l’analyse des réponses institutionnelles que ces entreprises fournissent. Par ailleurs, ils mettent en avant un contraste en matière d’appropriation de la recommandation chez les entreprises qui l’appliquent.Cairn restricted access
